1. Agreement to terms
By creating a Clinit account or accessing our services, you agree to be bound by these Terms of Service ("Terms"). If you are creating an account on behalf of a clinic, practice, or organisation, you represent and warrant that you have the legal authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use the service. We may update these Terms from time to time with 30 days' notice before material changes take effect.
2. The service
Clinit provides cloud-based clinic management software including appointment scheduling, electronic medical records (EMR), billing, analytics, patient portal, WhatsApp automation, and specialty-specific clinical tools ("Service").
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service with reasonable prior notice. We will not discontinue the core service without at least 90 days' written notice to allow data export.
The Service is provided as a software-as-a-service (SaaS) platform. We do not provide medical advice, and the Service does not constitute a medical device.
3. Your account
Registration: You must provide accurate, complete information during registration. You are responsible for maintaining the confidentiality of your login credentials.
Authorised users: You may invite clinic staff to access your account. You are responsible for all actions taken under your account, including by staff you have invited.
Security: Notify us immediately at security@clinit.app if you suspect unauthorised access to your account.
One account per clinic: You may not create multiple accounts for the same clinic or share accounts across unrelated organisations.
4. Your data and intellectual property
Your data belongs to you. You retain full ownership of all patient records, clinical notes, appointment data, invoices, and any other data you input into Clinit ("Clinic Data").
Limited licence to us: You grant Clinit a limited, non-exclusive, royalty-free licence to store, process, and transmit your Clinic Data solely to provide the Service to you.
No data mining: We will never use your Clinic Data for AI training, advertising, benchmarking, or any purpose other than operating the Service, without your explicit written consent.
Our IP: The Clinit platform, including all software, UI designs, algorithms, and documentation, is our exclusive intellectual property. You may not copy, reverse-engineer, or create derivative works.
5. Acceptable use
You agree to use Clinit only for lawful purposes in connection with the management of a legitimate healthcare practice. You may not:
- Use the Service for any illegal purpose or in violation of any applicable law
- Input false, fraudulent, or misleading patient or clinical information
- Attempt to gain unauthorised access to any part of the Service or other users' accounts
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Resell, sublicense, or white-label access to the Service without our written consent
- Use the Service to send unsolicited communications (spam) to patients
- Upload malicious code, viruses, or any content that could damage the Service or other users
6. Subscriptions, billing, and payments
Billing cycle: Subscriptions are billed monthly or annually as selected at sign-up. Billing occurs on the same date each month/year.
Pricing: All fees are displayed in Egyptian Pounds (EGP) unless stated otherwise. We may update pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new price.
Payment methods: We accept Visa, Mastercard, Meeza, Fawry, and ValU via Paymob, and international cards via Stripe.
Non-refundable: Subscription fees are generally non-refundable except: (a) if we materially breach these Terms, (b) if we discontinue the Service, or (c) as required by Egyptian consumer protection law.
Trial period: Free trials are subject to the full Terms. No credit card is required during the trial. Trial data is preserved if you subscribe within 14 days of trial expiry.
7. Uptime and service availability
We target 99.9% monthly uptime for the core Service (excluding scheduled maintenance, which we announce 48 hours in advance via our status page at status.clinit.app).
Downtime caused by force majeure events (natural disasters, government actions, internet infrastructure failures), third-party services beyond our control (Supabase, Vercel, Paymob), or your own actions is excluded from SLA calculations.
For planned maintenance, we aim to schedule outside of peak clinic hours (7 AM–8 PM EGypt Standard Time on weekdays).
8. Termination
By you: You may cancel your subscription at any time from your account settings. Your account remains active until the end of the current billing period.
By us: We may suspend or terminate your account immediately if: (a) you violate these Terms, (b) we are required to by law, or (c) you engage in fraudulent activity.
Data after termination: Following termination, your Clinic Data is retained for 90 days. During this period, you may export your data at any time. After 90 days, all data is permanently deleted.
Outstanding balance: Any outstanding fees become immediately due on termination.
9. Limitation of liability
As-is service: The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
Medical disclaimer: Clinit is practice management software. It is not a medical device and does not provide medical advice. Clinical decisions remain the sole responsibility of the licensed healthcare professionals using the Service.
Cap on liability: To the maximum extent permitted by Egyptian law, our total cumulative liability to you for any claims arising from or related to these Terms or the Service shall not exceed the total fees you paid in the three (3) months immediately preceding the event giving rise to the claim.
Excluded damages: We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
10. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation for 30 days. If unresolved, disputes shall be referred to the competent courts of Cairo, Egypt.
Nothing in this clause prevents either party from seeking urgent injunctive relief in any competent jurisdiction.
